idearoam Terms of Service
WELCOME TO idearoam
If you are 13 or older, we grant you a limited, revocable, nonexclusive, nonassignable, nonsublicensable license to access idearoam in compliance with the TOS; unlicensed access is unauthorized. You agree not to license, distribute, make derivative works, display, sell, or "frame" content from idearoam, excluding content you create and sharing with friends/family. You grant us a perpetual, irrevocable, unlimited, worldwide, fully paid/sublicensable license to use, copy, perform, display, distribute, and make derivative works from content you post.
You agree not to use or provide software (except for general purpose web browsers and email clients, or software expressly licensed by us) or services that interact or interoperate with idearoam, e.g. for downloading, uploading, posting, flagging, emailing, search, or mobile use. Robots, spiders, scripts, scrapers, crawlers, etc. are prohibited, as are misleading, unsolicited, unlawful, and/or spam postings/email. You agree not to collect users' personal and/or contact information ("PI").
If applicable, you authorize us to charge your account for idearoam fees. Unless noted, fees are in US dollars; tax is additional. To the extent permitted by law, fees are nonrefundable, even for posts we remove. We may refuse purchases, which may place a hold on your account.
To the extent permitted by law, (1) we make no promise as to idearoam, its completeness, accuracy, availability, timeliness, propriety, security or reliability; (2) your access and use are at your own risk and peril, and idearoam is provided "AS IS", “WHERE IS”, and "AS AVAILABLE"; (3) we are not liable for any harm resulting from (a) user content; (b) user conduct, e.g. illegal conduct; (c) your idearoam use; or (d) our representations; (4) WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES ("idearoam ENTITIES"), DISCLAIM ALL WARRANTIES & CONDITIONS, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, OR NON-INFRINGEMENT; (5) idearoam ENTITIES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS (E.G. OF PROFIT, REVENUE, DATA, OR GOODWILL); (6) IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED $100 OR WHAT YOU PAID US IN THE PAST YEAR.
You agree (1) any Claim, cause of action or dispute ("Claim") arising out of or related to the TOS or your idearoam use is governed by Georgia ("GA") law regardless of your location or any conflict or choice of law principle; (2) Claims must be resolved exclusively in state or federal court in Atlanta, Fulton County, Georgia (except we may seek injunctive remedy anywhere); (3) to submit to personal jurisdiction of said courts; (4) any Claim must be filed by 1 year after it arose or be forever barred; (5) not to bring or take part in a Class action against idearoam Entities; (6) (except government agencies) to indemnify idearoam Entities for any damage, loss, and expense (e.g. legal fees) arising from Claims related to your idearoam use; (7) you are liable for TOS breaches by affiliates (e.g. marketers) paid by you, directly or indirectly (e.g. through an affiliate network); and (8) to pay us for breaching or inducing others to breach the "USE" section, not as a penalty, but as a reasonable estimate of our damages (actual damages are often hard to calculate): $0.10 per server request, $1 per post, email, flag, or account created, $1 per item of PI collected, and $1000 per software distribution, capped at $1,000 per day.
idearoam Privacy Statement
Will There Be Changes to this Privacy Statement?
We will occasionally update and amend this privacy statement to reflect customer feedback, changes in our Services, and updates to applicable data privacy laws and regulations. When we post changes to this statement, we will revise the “last updated” date at the top of the statement. If there are material changes to this statement or in how idearoam will use your information, we will notify you by either posting a notice of such changes before they take effect or by direct notification. We encourage you to periodically review this privacy statement to learn how idearoam is protecting your information.
An “idearoam Network” is a network comprised of Members (i.e. “users”) using the Services available via the idearoam platform for the benefit of a company or another type of organization (“organization”). A company may grant access and invite Members who may or may not be employees of the organization.
An “idearoam Basic Network” is an idearoam Network that includes only members of the free idearoam Basic services.
An “idearoam Enterprise Network” is an idearoam Network that has been upgraded from an idearoam Basic Network by an organization and by right has ownership of the content and the activities contained within that network.
Companies who upgrade to an idearoam Enterprise Network may take administrative control of that network and see the data and activities of the Members on that network (including data and activity which was posted prior to the upgrade of the network to an idearoam Enterprise Network, and may choose to implement security or privacy policies in addition to those described in this privacy statement. With respect to an idearoam Basic Network, references to “you” or “your” in this privacy statement refer to the individual Members of the Services. With respect to idearoam Enterprise Networks, references to “you” or “your” in this privacy statement refer to the organization that is our customer. Individual Members of idearoam Enterprise Networks should direct privacy related inquiries to the organization that provides them access to the Services.
What Personal Information Does idearoam Collect?
Customer Data or “Personal Information” is all the data, including all text, audio, video, software, documents, presentations, or image files that you provide, or are provided on your behalf, to us through your use of the Services.
Personal Information You Provide to Us
We receive and store any information you enter on our Services or provide to us in any other way. The types of Personal Information collected may include your name, email address, phone number, birthday, Twitter, Facebook, LinkedIn, Instagram, and/or Pintrest usernames, location, use information regarding your use of our Services, and browser information. We automatically receive your location when you use the Services. We use various technologies to determine location, such as location services of the applicable operating system or browser and sensor data from your device that may, for example, provide information on nearby Wi-Fi- access points and cell towers. The Personal Information you provide is used for such purposes as allowing you to set up a user account and profile that can be used to interact with other users through the Services, improving the content of the Services, customizing the advertising and content you and your friends see, and communicating with you about new features. Your Services account will be associated with your email and this account will be used for all our Services that you use. Information you provide to one of our Services may be used with other Services you or your friends use. For example, location information we receive in connection with your use of one of our apps may be used to customize the content you and your friends see in another of our apps. We may also draw upon this Personal Information in order to adapt the Services of our community to your needs, to research the effectiveness of our network and Services, and to develop new tools for the community.
Information Collected Automatically
Contact Data includes, but is not limited to: name, address, phone number, profile information, email address, title, time zone and other contact information that may be collected through administration and use of the idearoam site and Services. Contact Data provided as part of your idearoam profile is available to other Members of the idearoam Network in which the profile resides.
idearoam performs best when many Members take part in communicating and sharing within an idearoam Network. For this reason, the Service enables Members to send invitations to others, encouraging them to join the Network. If you choose to provide email addresses or other Contact Data of people inside or outside your organization, we will use that information to enable you and other Members to invite those people to join the appropriate idearoam Network. In addition, idearoam uses Contact Data to complete the transactions you request, administer your account, improve the Services and detect and prevent fraud.
We may also use Contact Data to contact you to provide information about new subscriptions, billing and important updates about the Services, including information about security or other technical issues. We may also contact you regarding third-party inquiries as described in this privacy statement or your agreement(s). If you are a verified administrator for the Service, you may not be able to unsubscribe from some of these communications.
Subject to your contact preferences and account settings, we may also use Contact Data to contact you regarding information and offers about the Service, other products and services or to request your feedback.
We may use statistical data, analytics, trends and usage information derived from your use of the idearoam Services (“usage data”). Usage data includes, but is not limited to, aggregated quantitative information about active Members, activity, topics, use, and groups. Some of the ways we use the usage data include operating, improving and personalizing the Services and our offerings, as well as other idearoam products and services. Except to provide reports to you or others in your organization, we do not disclose usage data in a way that is identifiable to your organization or Members in your idearoam Network.
Support Data is the information collected when a support request is submitted, including information about hardware, software, and other details related to the support incident, such as: contact or authentication information, chat session personalization, information about the condition of the computer and the application when the fault occurred and during diagnostics, system and registry data about software installations and hardware configurations, and error-tracking files.
Support may be provided through various means, including, but not limited to: telephone, e-mail, or online chat. Phone conversations, email or online chat sessions, with support professionals may be recorded and/or monitored. Following a support incident, we may send you a survey about your experience and offerings. You may opt-out of support surveys by contacting Support or through the “un-subscribe” link in the e-mail footer.
To review and edit your personal information collected through our support services, and for any other inquiries regarding our support services, please contact us by using our Web form. Some business customers may purchase enhanced support offerings. These offerings are covered by their own contract terms and notices.
Friends and Followers
· Friends on idearoam: Your friends can see, for example, some of your personal information (as described in more detail below), such as your name, email address, profile photo, a list of your friends, Roams you write or comment on, photos you post, tips you write, etc.
· Followers and people you follow on idearoam: Followers can see your publicly available information and you can see the publicly available information of users you follow.
· Individuals reading this information may use it or disclose it to other individuals or entities without our control and without your knowledge. We therefore urge you to think carefully about including any specific information you may deem private in comments, Roams or tips or other content (location or otherwise) that you create in the Services.
Cookies & Other Information
Sharing Your Information
We will not disclose Customer Data or Contact Data (“your information”) outside of idearoam or its controlled subsidiaries and affiliates except as you direct, or as described in your agreement(s), as required by legal process, or this privacy statement.
· We do not share any of your information with advertisers.
· We occasionally contract with other companies to provide services (such as customer support, data management, and technical infrastructure services) on our behalf. We may provide these companies with access to your information where necessary for their engagement. These companies are required to maintain the confidentiality of your information (per the terms of this statement) and are prohibited from using it for any purpose other than that for which they are engaged by idearoam
· Should a third party contact idearoam with a request for your information, we will attempt to redirect the third party to request the data directly from you. As part of that process, we may provide your basic contact information to the third party.
· We may disclose your information and Data to third parties to respond to subpoenas, court orders, or other legal process.
· We may disclose your information and Data to third parties, and their agents, in connection with a merger, bankruptcy, or sale/transfer of our assets to another entity.
· We may disclose your information and Data in summary form, so long as it cannot be used to identify you.
· idearoam may share Contact Data with third parties for purposes of fraud prevention or to process payment transactions, as further described in this statement.
· The Services may enable you to purchase, subscribe to, or use services, software, and content from companies other than idearoam (“Third Party Offerings”). If you choose to purchase, subscribe to, or use a Third Party Offering, we may provide the third party with your Contact Data to enable the third party to provide its offering to you (and with your consent, send you promotional communications). That data and your use of a Third Party Offering will be governed by the applicable third party privacy statement(s) and policies.
· We will not substantively respond to data protection and privacy requests from your Members without your prior written consent, unless required by applicable law.
· Please note that the Services may include links to or allow you to install third-party or other idearoam products and services whose privacy practices may differ from the Services. Your use of such products or services, and any information you provide to a third party, is governed by their privacy statements. We encourage you to review these other privacy statements.
Accessing, Correcting and Deleting Your Information
You may access, correct or delete Customer Data or Contact Data you have provided to us by using the tools and settings within the Services (for example, editing your profile information on the Service) or by contacting support by emailing email@example.com. Changes you make to your information on the Service take immediate effect on your idearoam Network, but data may be retained in secure storage for a limited period afterward as part of our standard data backup process. Because of the way we currently maintain idearoam, such deletion may not be immediate, and residual copies of your profile information or posts may remain on backup media for up to ninety (90) days.
We have implemented and will maintain appropriate technical and organizational measures, internal controls, and information security routines intended to protect your information against accidental loss, destruction, or alteration; unauthorized disclosure or access; or unlawful destruction; however, we make no claims or guarantees about the effectiveness of such protections or systems. Please do not post or disseminate private data or data that you do not want compromised.
idearoam endeavors to safeguard user information to ensure that user account information is kept private. However, idearoam cannot guarantee the security of user account information. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of user information at any time.
Your Services’ data may be transferred to, stored and processed in the United States or any other country where idearoam or its affiliates, subsidiaries or service providers maintain facilities.
If you are located outside of the United States, please note that our Services are hosted on our computer servers in the United States. Therefore, your information may be processed and stored in the United States. As a result, United States Federal and state governments, courts, or law enforcement or regulatory agencies may be able to obtain disclosure of your information through laws applicable in the United States. Your use of the Sites or the Services or your submission of any Personal Information to us will constitute your consent to the transfer of your Personal Information outside of your home country, including the United States, which may provide for different data protection rules than in your country.
